This Membership Agreement (this “Agreement”) governs membership in the Texas United Christian Chamber of Commerce, a membership organization operated by UnitedC3 Inc. (d/b/a Texas United) (“Texas United,” “we,” “our,” or “us”), and applies to each member who accepts or uses the Membership benefits (“Member,” “you,” or “your”).

Thank you for being part of the Texas United Christian Chamber of Commerce, hosted by UnitedC3 Inc. and referred to in this Agreement as “Texas United,” “we,” “our,” or “us.” Texas United Christian Chamber of Commerce is a professional development and leadership community for its members (the “Membership”). Please review these Membership terms thoroughly.
This Agreement is a legal agreement between you and UnitedC3 Inc. By digitally signing this Agreement, clicking to indicate acceptance electronically, attending events as a member, or accessing or using the Membership benefits, you agree to these terms. If you do not agree to this Agreement, do not indicate acceptance and do not use the Membership benefits.
1. Agreement
1.1 This Agreement describes the terms governing your Membership including participation, content, updates and events and gives you certain rights and responsibilities, as described in this Agreement. This Agreement includes by reference:
- The privacy policy available on the https://txunited.org/ website; and
- Any terms provided separately to you for the Membership, including for example special event/program terms, ordering, ticketing, pricing, venue rules, and payment terms, where applicable; but excluding any new or additional terms included by you on any purchase order, service order, invoice, payment, acknowledgement, supplier/vendor portal, or similar document.
2. Membership Level, Term, Use and Restrictions
2.1 Materials provided by Texas United or by speakers at events are protected by copyright, trademark, and other intellectual property laws. Membership includes limited rights to access events and use related materials and training for your own personal leadership development and business networking. All rights in the Membership not expressly granted to you in writing are reserved. As long as you meet any applicable payment obligations and comply with this Agreement, UnitedC3 Inc. grants you a personal, limited, nonexclusive, nontransferable, revocable license to access events and use Membership materials during your Membership.
2.2 You acknowledge and agree that Membership is personal to you. You agree not to use the Membership benefits in a manner that violates any applicable law or regulation, any Texas United policy or code of conduct, or this Agreement. For example, unless authorized by Texas United in writing, you agree that you will not:
- Provide access to or give the Membership or benefits or any part of the Membership or benefits to any third party;
- Reproduce, duplicate, copy, deconstruct, reverse-engineer, sell, trade or resell the Membership, benefits, or any part of it;
- Transfer your Membership to any other party;
- Permit any third party to benefit from the use or functionality of online access to the Membership via shared profiles or login information, or downloading or sharing Membership materials for resale;
- Provide false or misleading information in online reviews of Texas United;
- Use events or the Membership directory to engage in “inappropriate personal behavior” such as hate speech, bullying, cyberterrorism, sexual assault, domestic violence or stalking (including cyberstalking), theft, embezzlement, fraud, conversion, sexual harassment, or any other actions that violate Texas United policies or code of conduct, or applicable law.
If you violate any of these terms, UnitedC3 Inc. may terminate this Agreement and your license to use the Membership in its sole discretion, and you will forfeit any Membership fees paid to Texas United.
3. Payment Method, Cancellations, Refunds, and Auto-renewal
3.1 Texas United offers annual Memberships at multiple membership levels. Events, programming, materials, and other benefits may vary depending on Membership level. You agree that your purchase of a Membership is not contingent on the delivery of any future functionality, features, programming, or events, or on any verbal or written public comments made by us regarding future programming or events.
3.2 Members may pay annually in advance or request a payment plan. A valid payment method must remain on file for any payment plan. By selecting a payment plan, you agree to pay the full annual Membership dues. Texas United may retry failed payments, suspend Membership benefits, and pursue lawful collection of unpaid balances. Payments will be billed in U.S. dollars when you enroll and annually thereafter unless you provide timely notice of non-renewal as described in this Section. Notice of non-renewal may be provided by emailing info@txunited.org.
3.3 Your Membership automatically renews each year at the then-current level and rate, unless you cancel your Membership using the process described in paragraph 3.6 below.
3.4 You may downgrade your Membership at any time, and the downgrade will be effective at your next renewal date. Downgrading a Membership does not reduce or otherwise change any existing payment-plan obligation, and no refunds or prorated credits are provided. Cancellation of a Membership with an active payment plan is effective only after full payment of the remaining payment-plan balance.
3.5 Upgrading a Membership will be effective immediately upon payment of any additional fees for the upgraded Membership level. Any existing payment plan will be updated to reflect the upgraded Membership level, and the upgrade will establish a new annual renewal date. To cancel your Membership, email our support team directly at info@txunited.org.
3.6 You will receive a reminder of your Membership renewal date at least 30 days before your renewal date as a courtesy and not as a condition of renewal. Cancellation or non-renewal requests must be received by Texas United at info@txunited.org at least seven (7) days before your annual renewal date to avoid additional charges. Texas United will administer renewals in compliance with applicable law.
4. Your Privacy and Personal Information
4.1 You can view our privacy policy on the Texas United website. Membership benefits include being listed in a Membership directory that is available to other members. If you do not want to be included in the directory, or if you would like to update your directory information, email us at info@txunited.org.
5. Changes to Membership Benefits; Force Majeure
5.1 Texas United may modify benefits, events, services, speaker appearances, or programs at any time. Fees for special programs or ticketed events are non-refundable unless otherwise stated at the time of ticket sales or enrollment.
5.2 Texas United is not responsible for cancellations, delays, or failures caused by events beyond its reasonable control that make our performance unsafe, uneconomic, impracticable, or impossible, such as: natural disasters, named storms, failure of transportation infrastructure, widespread power outages, failure of event-location equipment, war, terror events, cyberattack, pandemic or quarantine, government order, civil unrest, or strikes and lockouts, or the illness, unavailability, or death of a presenter, facilitator, or speaker.
6. Communication Preferences
Members consent to receive transactional communications, including invoices, billing confirmations, receipts, event registration information, Membership updates, and other organizational communications that are necessary or useful for providing Membership benefits. You agree that we may send these communications by email, SMS, or other contact methods you provide. You may choose not to receive certain optional communications, such as marketing messages; however, if you opt out of certain emails, SMS messages, or other communications, you may not become aware of all Membership benefits available to you. Members may unsubscribe from marketing emails by using the “unsubscribe” link included in the email and may opt out of SMS messages by replying “STOP.”
7. Photography and Recording
By attending events, whether in person or virtually, members grant Texas United permission to photograph, video record, audio record, transcribe, summarize, or otherwise capture their likeness, voice, and chat comments, including through note-taking applications, and to use those materials for Texas United’s marketing and business purposes without additional compensation. Texas United will not use event photographs, video, audio, voice recordings, chat comments, transcripts, summaries, or other captured materials to create an AI-generated likeness, digital replica, synthetic voice, or virtual representation of any member without that member’s specific prior written consent.
8. Disclaimer of Warranties
EXCEPT AS DESCRIBED IN THIS AGREEMENT, THE MEMBERSHIP IS PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UNITEDC3 INC., ITS AFFILIATES, OFFICERS, DIRECTORS, LICENSORS, AND SPEAKERS, COLLECTIVELY REFERRED TO AS THE “TEXAS UNITED GROUP,” DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, MERCHANTABILITY, NON-INTERFERENCE WITH BUSINESS OPPORTUNITIES, NON-INFRINGEMENT OF ANY INTELLECTUAL PROPERTY RIGHTS, OR THE ACCURACY, RELIABILITY, QUALITY, OR CONTENT IN OR LINKED TO THE MEMBERSHIP.
9. Limitation of Liability and Indemnity
9.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE ENTIRE LIABILITY OF THE TEXAS UNITED GROUP FOR ALL MATTERS OR CLAIMS RELATING TO THIS AGREEMENT SHALL BE LIMITED TO THE AMOUNT YOU PAID FOR THE MEMBERSHIP DURING THE TWELVE (12) MONTHS BEFORE SUCH CLAIM. SUBJECT TO APPLICABLE LAW, THE TEXAS UNITED GROUP IS NOT LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF BUSINESS; LOSS OF BUSINESS OPPORTUNITY; LOSS OF REVENUE; LOST PROFITS; TORTIOUS INTERFERENCE WITH CONTRACTS; OR LOSS OF INVESTMENT OPPORTUNITY. THE ABOVE LIMITATIONS APPLY EVEN IF THE TEXAS UNITED GROUP HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THIS AGREEMENT SETS FORTH THE ENTIRE LIABILITY OF THE TEXAS UNITED GROUP AND YOUR EXCLUSIVE REMEDY WITH RESPECT TO THE MEMBERSHIP AND ITS USE.
9.2 YOU AGREE TO INDEMNIFY AND HOLD THE TEXAS UNITED GROUP HARMLESS FROM ANY AND ALL CLAIMS, LIABILITIES, AND EXPENSES, INCLUDING REASONABLE ATTORNEYS’ FEES AND COSTS, ARISING OUT OF YOUR USE OF THE MEMBERSHIP OR BREACH OF THIS AGREEMENT (COLLECTIVELY, “CLAIMS”). UNITEDC3 INC. RESERVES THE RIGHT, IN ITS SOLE DISCRETION AND AT ITS OWN EXPENSE, TO ASSUME THE EXCLUSIVE DEFENSE AND CONTROL OF ANY CLAIMS. YOU AGREE TO REASONABLY COOPERATE AS REQUESTED BY UNITEDC3 INC. IN THE DEFENSE OF ANY CLAIMS.
10. Changes to This Agreement or the Membership
We reserve the right to change this Agreement from time to time upon reasonable notice to you, and the changes will be effective when posted on our website for the Membership or when we notify you by other means. We may also change or discontinue the Membership, in whole or in part, including any feature or aspect of the Membership, pricing, events, speaker lineups, programs, and other benefits.
11. GOVERNING LAW. The laws of the State of Texas govern this Agreement without regard to conflicts-of-law principles. Venue will be proper in the state courts located in Waller County, Texas, or in the federal courts located in the Southern District of Texas.
12. Miscellaneous
This Agreement is the entire agreement between you and Texas United and replaces all prior understandings, communications, and agreements, whether oral or written, regarding its subject matter. This Agreement may be modified only by a written amendment signed by the parties or as otherwise provided in this Agreement. If any court of competent jurisdiction determines that any part of this Agreement is invalid or unenforceable, that part will be removed or limited to the minimum extent necessary without affecting the remainder of the Agreement. The remaining terms will remain valid and enforceable.
You may not assign or transfer this Agreement or your Membership. However, Texas United may assign or transfer this Agreement without your consent to:
- an affiliate,
- another organization through a sale of assets by UnitedC3 Inc.; or
- a successor by merger.
Any assignment in violation of this Section is void.
